1. Agreement
These Terms of Service (“Terms”) are an agreement between [Registered company name] (“we”, “us”) and the business or organisation that creates an account (“Customer”, “you”) for AI Lead Flow (the “Service”). By creating an account or using the Service, you agree to these Terms on behalf of your business, and you confirm that you have authority to do so. If a separate written agreement with us covers the Service, that agreement takes precedence.
2. The Service
The Service connects to your WhatsApp Business Account through the WhatsApp Business Platform provided by Meta. It uses AI to answer your customers, book appointments, record order requests and qualify leads, and sends follow-up messages using WhatsApp templates. The Service records order requests for your team to confirm; it is not an online shop, a payment processor or a delivery service.
3. Accounts
- You must be at least 18 and use the Service for business purposes.
- Keep your login details secure. You are responsible for activity under your account and your staff’s accounts.
- Give accurate information and keep it up to date.
- Tell us promptly at support@[your-domain.com] if you suspect unauthorised access.
4. Your responsibilities
- WhatsApp and Meta rules. You must comply with the WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy, WhatsApp Commerce Policy and Meta’s other applicable terms. Meta may restrict or ban a WhatsApp Business Account that breaks them; we are not responsible for Meta’s decisions.
- Consent. You must have your customers’ permission to message them on WhatsApp, honour opt-out requests, and provide your own privacy notice to your customers.
- Your business information. The AI answers from the services, prices, hours, policies and catalogue you provide. You are responsible for keeping them accurate.
- Your content. You are responsible for the templates, messages and other content sent from your account, including messages written by the AI on your behalf.
- Lawful use. You must follow our Acceptable Use Policy and the laws that apply to your business, including consumer protection, health and data protection laws.
5. AI-generated replies
The AI is designed to answer only from your information and to hand conversations to your staff when it is unsure, but it can still make mistakes. You can choose fully automatic replies, drafts for staff approval, or suggestions only, and your staff can take over any conversation. The Service does not provide medical, legal, financial or other professional advice, and you must not present AI replies as such advice.
6. Fees
- Subscription fees, if any, are those shown in your plan or order form. Fees are payable in advance and are not refundable except where the law requires.
- Meta charges are separate. Meta bills your WhatsApp Business Account directly for template messages and other WhatsApp Business Platform charges.
- Prices exclude taxes, which you pay where applicable. We will give at least 30 days’ notice of price changes.
7. Data protection
For your customers’ data, you are the controller and we act as your processor. We process that data only to provide the Service, on your instructions, as described in our Privacy Policy. We keep it confidential, protect it with appropriate security measures, use the service providers listed in the Privacy Policy, help you respond to requests from your customers, and delete it when you close your account, as described on our Data Deletion page.
8. Third-party services
The Service works with third-party services such as the WhatsApp Business Platform, Google Calendar and your own store system. Their availability and terms are outside our control, and changes to them may affect the Service.
9. Intellectual property
We own the Service, its software and its content. You keep ownership of your data and content and give us permission to use it only to provide and support the Service. If you send us feedback, we may use it without obligation to you.
10. Availability and changes
We aim to keep the Service available and reliable but do not guarantee uninterrupted operation unless a separate service level agreement says so. We may change or improve features; if we remove a major feature you rely on, we will tell you in advance.
11. Suspension and termination
- You can stop using the Service and close your account at any time.
- We may suspend or end your access if you seriously or repeatedly break these Terms, fail to pay, or use the Service in a way that harms others or puts the Service or your customers at risk. Where reasonable, we will warn you first.
- After closure, your data is deleted within 30 days, as described in our Privacy Policy. You can ask for an export before then.
12. Disclaimers
Apart from what these Terms say, the Service is provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose, to the extent the law allows.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect or consequential losses, or lost profits, revenue or data, and our total liability arising from these Terms is limited to the fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
14. Indemnity
You will defend and compensate us against claims by third parties arising from your content, your messages to your customers, or your breach of these Terms or of Meta’s terms.
15. Governing law
These Terms are governed by the laws of Pakistan, and the courts of Pakistan have jurisdiction over any dispute, unless the law where you are based requires otherwise.
16. Changes to these Terms
We may update these Terms. We will post the new version here and, for significant changes, notify you at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
